CALGARY–AeroMechanical Services Ltd. (AMA) today announced that it has closed it previously announced brokered private placement. Max Capital Markets Ltd. acted as the agent for the offering. An aggregate of 16,000,000 Units (the “Units”) of the Corporation were issued at a price of $0.50 per Unit (the “Offering”). Each Unit is comprised of one common share (a “Common Share”) and half of one common share purchase warrant (a “Purchase Warrant”). Each whole Purchase Warrant is exercisable into one Common Share at an exercise price of $0.75 for 18 months from the closing date of the Offering. Continue reading

CALGARY–AeroMechanical Services Ltd. (“AMA”) is pleased to announce, further to the press release dated September 9, 2009, approval from the European Aviation Safety Agency and Transport Canada has been received. This activation approval or Supplemental Type Certificate applies to the Hawker Beechcraft 750, 800XP, 850XP and 900XP models, of which over 700 are presently in service or on order.

AeroMechanical Services Ltd. Announces Brokered Private Placement

NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES

CALGARY, Alberta–AeroMechanical Services Ltd. (AMA) is pleased to announce that it has entered into an agreement with Max Capital Markets Ltd. to act as agent (the “Agent”) in connection with a financing of up to 16,000,000 Units (the “Units”) of the Corporation at a price of $0.50 per Unit (the “Offering”). Each Unit shall be comprised of one common share (a “Common Share”) and half of one common share purchase warrant (a “Purchase Warrant”). Each whole Purchase Warrant shall be exercisable into one Common Share at an exercise price of $0.75 for 18 months following the closing of the Offering. The gross proceeds of the offering will be up to $8,000,000. The Units will be offered by way of private placement exemptions from prospectus requirements in such provinces of Canada as the Agent may designate.

(“AMA”) announced today it has signed an agreement with the Aviation Recorders division of L-3 Communications to sell AMA’s real-time data communications and Internet data delivery solutions for aircraft. Together with L-3’s Flight Recorder and Electronic Flight Bag products, these AMA product and service solutions offer customers the ability to receive, record, store, monitor, transmit and analyze critical aircraft flight data, in real time when necessary, to improve both cost-effective aircraft performance and operational safety. These AMA solutions are marketed under the brand FLYHT, in conjunction with L-3’s industry leading line of Flight Data Recorders (FDRs), commonly referred to as aircraft “black boxes”.
